Pixxle WebGuard is published by Pixxle SAS, a company operating digital solutions for professionals. Commercial, administrative, or contractual requests may be sent to commercial@pixxle.io.
These terms apply to any individual or legal entity that creates an account, subscribes to a plan, requests an Enterprise plan, or uses all or part of the Pixxle WebGuard service.
Pixxle may publish separate legal notices to specify its identification, hosting, and representation details. These terms specifically govern the sale and use of WebGuard.

Definitions
In these terms, the following words have the meanings set out below, whether used in singular or plural form.
- “WebGuard” or “Service” means the Pixxle WebGuard SaaS platform, its interfaces, dashboards, alerts, reports, status pages, automations, and related features.
- “Customer” means any professional, company, agency, freelancer, association, or organization using WebGuard to monitor its own websites or its clients’ websites.
- “User” means any person authorized to access the Customer account or the WebGuard back office.
- “Monitored website” means any website, domain name, URL, application, or resource configured in WebGuard for checks.
- “Plan” means a Free, Plus, Pro, Enterprise, or custom plan offered by Pixxle.
- “Customer Data” means information, settings, URLs, logs, screenshots, reports, and content provided or generated when using the Service.

Purpose
These terms define the rules for selling, accessing, and using WebGuard, as well as the rights and obligations of Pixxle, the Customer, and Users.
WebGuard helps centralize website monitoring, track availability, run certain technical checks, receive alerts, and view information useful for operational management.
Any subscription to or use of the Service implies full and unconditional acceptance of these terms.

Description of Pixxle WebGuard
WebGuard is a SaaS solution for website monitoring and supervision. It is designed to help professionals detect anomalies, downtime, content changes, or technical signals that require verification more quickly.
Depending on the subscribed plan, the Service may include HTTP checks, response code tracking, response time measurement, SSL verification, screenshots, content change detection, reports, email alerts, public or private status pages, and AI-agent assistance features.
The Customer understands that WebGuard is an operational supervision tool. It does not replace complete managed services, a security audit, or a guarantee that no incident, vulnerability, or compromise will occur.

Account creation and access
Access to certain features requires creating a customer account or using an authentication system provided by Pixxle, including Pixxle Login when available.
The Customer undertakes to provide accurate, complete, and up-to-date information. The Customer is responsible for keeping credentials confidential, managing access granted to teams, and all actions performed from its account.
Pixxle may suspend or restrict access in case of suspicious use, attempted intrusion, non-payment, breach of these terms, or risk to the security of the Service or third parties.

Plans, subscriptions, and Enterprise plan
WebGuard is offered under several plans, which may include a free plan, recurring paid plans, and an Enterprise plan quoted individually. Features, quotas, limits, and prices are presented on the billing page or in the commercial proposal sent to the Customer.
Paid plans are subscribed to for a monthly or annual period depending on the available options. Unless otherwise stated, they have no commitment beyond the paid period and may be cancelled at any time.
The Enterprise plan is handled through a dedicated request and may include specific volumes, services, commitments, onboarding, or terms. Written specific terms accepted by both parties prevail over these terms only where they conflict with their specific subject matter.

Prices, taxes, and invoicing
Displayed prices are tax-inclusive when stated as such, with a default 20% VAT rate, unless a special tax regime, exemption, reverse charge mechanism, or different local rule applies.
Invoices are issued according to the subscribed plan, selected billing frequency, and information provided by the Customer. The Customer is responsible for the accuracy of its billing information.
Pixxle may change its prices. Price changes affecting existing subscriptions will be communicated within a reasonable period before they take effect, unless the change is required by law, a tax, or a third-party provider.

Payment
Paid plans are paid using the methods offered at the time of subscription, including through a payment provider such as Stripe when enabled.
The Customer authorizes Pixxle or its payment provider to charge amounts due according to the selected billing frequency. In case of payment failure, Pixxle may retry payment, notify the Customer, suspend certain features, or terminate the subscription after a reasonable period.
Bank fees, exchange fees, commissions, or costs imposed by the Customer’s bank remain payable by the Customer.

Cancellation and no commitment
Unless specific terms state otherwise, WebGuard plans have no commitment and may be cancelled at any time from the customer area or by contacting Pixxle.
Cancellation takes effect at the end of the current billing period. The Customer keeps access to paid features until that date, except in case of suspension for breach, fraud, security risk, or serious violation of these terms.
No prorated refund is due for a billing period already started, unless mandatory law requires otherwise, Pixxle grants a commercial gesture, or a specific plan states otherwise.

Right of withdrawal
WebGuard is primarily intended for professional customers. Where the Customer acts for purposes relating to its professional activity, consumer withdrawal rights are not intended to apply.
If a Customer legally benefits from a withdrawal right, mandatory statutory rights remain applicable. Where the digital Service starts immediately with the Customer’s consent, the Customer acknowledges that rules governing immediate performance may limit the exercise of that right under applicable law.

Customer obligations
The Customer undertakes to use WebGuard fairly, in compliance with the law, these terms, third-party rights, and reasonable cybersecurity rules.
The Customer warrants that it has all rights required to configure and monitor the websites, domains, URLs, or resources added to WebGuard, including when acting on behalf of its own clients.
The Customer must not use WebGuard to disrupt a third-party service, bypass a security measure, unlawfully collect data, monitor a resource without authorization, attempt to extract the Service source code, or harm Pixxle’s infrastructure.

Availability, maintenance, and limits
Pixxle uses reasonable efforts to ensure WebGuard availability and proper operation. The Customer acknowledges, however, that any online service may experience interruptions, slowdowns, maintenance, network incidents, or third-party provider failures.
Maintenance may be performed to improve, secure, or correct the Service. Pixxle will use reasonable efforts, where possible, to limit the impact on Service use.
Results provided by WebGuard depend in particular on monitored website availability, networks, DNS, certificates, firewalls, CDNs, hosts, Customer configurations, and third-party services. Pixxle does not guarantee exhaustive detection of all incidents.

Alerts, reports, and recommendations
Alerts, reports, scores, recommendations, or analyses displayed in WebGuard are provided for operational purposes to help the Customer prioritize verifications.
The Customer remains solely responsible for decisions made based on this information, corrective actions carried out on its websites, and human verification of important alerts.
Notifications may depend on email services, messaging tools, or external providers. Pixxle cannot guarantee immediate or systematic receipt of a notification where external factors affect deliverability.

Data, confidentiality, and security
Pixxle processes Customer Data necessary to provide the Service, including account information, monitored websites, check settings, monitoring results, histories, incidents, screenshots, reports, and billing data.
Pixxle implements reasonable technical and organizational measures to protect the Service and Customer Data against unauthorized access, loss, alteration, or unlawful disclosure.
The Customer remains responsible for the data added to the Service and undertakes not to transmit unlawful, manifestly sensitive, or unnecessary information. Commercial or support communications may be retained to manage the customer relationship.

Personal data
Where WebGuard use involves processing personal data, Pixxle and the Customer undertake to comply with applicable data protection laws, including the GDPR where applicable.
Pixxle acts, depending on the processing concerned, as data controller for management of its accounts, prospects, invoices, and communications, and as processor where the Customer entrusts data to Pixxle for website monitoring.
The Customer warrants that it has the necessary legal bases, notices, and authorizations for the data configured or transmitted in WebGuard. Any personal data request may be sent to commercial@pixxle.io, which will redirect it to the appropriate contact.

Intellectual property
Pixxle retains all intellectual property rights relating to WebGuard, its interfaces, trademarks, logos, developments, technical bases, methods, graphic elements, documentation, and content, unless otherwise stated.
Subscribing to the Service grants the Customer a personal, non-exclusive, non-transferable, limited right to use WebGuard during the subscription term and in accordance with these terms.
The Customer retains its rights to its own data, trademarks, content, and materials transmitted to Pixxle. The Customer authorizes Pixxle to use them only as necessary to provide, secure, support, and improve the Service.

Third-party services
WebGuard may rely on third-party services, including for payment, email delivery, hosting, technical analysis, screenshots, authentication, or future integrations.
Pixxle selects providers with care, but cannot be held responsible for interruptions, restrictions, price changes, policies, or incidents attributable to those third-party services beyond what applicable law allows.
The Customer may be subject to specific terms of certain providers when enabling an integration, payment, or connected service.

Liability
Pixxle is subject to a best-efforts obligation in providing WebGuard. Its liability may only be incurred in case of proven fault directly attributable to Pixxle.
Pixxle shall not be liable for indirect damages such as loss of revenue, loss of opportunity, data loss, reputational harm, business interruption, commercial damage, cost of substitute service, or third-party claims, unless mandatory law provides otherwise.
In any event, except in case of gross negligence, wilful misconduct, or mandatory legal provision, Pixxle’s total liability for a subscription is limited to the amounts actually paid by the Customer to Pixxle for the relevant Service during the twelve months preceding the event giving rise to liability.

Force majeure
Neither party may be held liable for a breach or delay resulting from a force majeure event or an external event reasonably beyond its control.
This includes, without limitation, natural disasters, fires, strikes, conflicts, administrative decisions, large-scale cyberattacks, network outages, hosting incidents, power failures, or widespread third-party service failures.

Changes to the terms
Pixxle may amend these terms to reflect changes to the Service, its plans, regulations, technical constraints, or organization.
The applicable version is the one published on the WebGuard website at the time of use or subscription, unless specific terms state otherwise. In case of a substantial unfavorable change, Pixxle will use reasonable efforts to inform Customers within a reasonable period.
Continued use of the Service after the new terms take effect constitutes acceptance of those terms.

Governing law and disputes
These terms are governed by French law, unless a mandatory rule applicable to the Customer provides otherwise.
In case of difficulty, the parties will seek an amicable solution before initiating legal proceedings. Requests may be sent to commercial@pixxle.io.
Failing an amicable agreement, any dispute relating to the validity, interpretation, performance, or termination of these terms shall be brought before the competent courts under applicable procedural rules.
